Master Terms & Conditions and Refund & Cancellation Policy

Welcome to Praczeal Solutions. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between Praczeal Solutions ("Company", "We", "Us", or "Our") and you ("You", "Your", or "Subscriber"). By clicking "I Accept," accessing the service, or creating an account, you expressly acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

1. Service Description and Scope

Praczeal Solutions provides cloud-based practice management, client relationship management, compliance tracking, billing, and related software solutions designed for professionals, chartered accountants, and accounting firms. We strive to maintain maximum uptime but do not guarantee uninterrupted or error-free service.

2. Account Registration and Security

To use the Service, you must provide accurate, current, and complete registration information and have the legal authority to bind any entity you represent. You are entirely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Subscription and Payment Terms

Fees are payable in advance for the selected subscription period and are exclusive of applicable taxes unless stated otherwise. Late payments may incur interest at the maximum legal rate. Your account and subscription are non-transferable, non-shareable, and non-saleable.

4. Data Protection, Privacy, and Consent

By uploading any data to the Service, you represent and warrant that you have the lawful right, authority, and necessary consents to upload, store, and process all data, including client information and financial records. You act as a Data Fiduciary and are solely responsible for compliance with all applicable data protection laws and professional ethical obligations regarding confidentiality.

5. Acceptable Use Policy

You agree not to use the Service for any unlawful purpose, upload malicious code, interfere with the servers, attempt unauthorized access, or violate any third-party intellectual property rights.

6. Intellectual Property Rights

All intellectual property rights in the Service, including software, design, and trademarks, are owned exclusively by Praczeal Solutions or our licensors. You retain all ownership rights to your business's private data. You may not reverse engineer, decompile, or create derivative works based on the Service.

7. Limitation of Liability and Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your User Data.

9. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. All disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.

10. Refund and Cancellation Policy

Subscription Cancellation

If you wish to cancel the service, your core data will be retained securely on our system for 6 months. You will not be charged during this inactive period. If you choose to reactivate your account within this timeframe, you can seamlessly resume working on the same data. After 6 months, all your data will be completely erased from our system. You can export the account data anytime as long as your account is active.

Refund Policy

At Praczeal Solutions, we value your satisfaction. If you are not completely satisfied with your subscription, we offer a 100% money-back guarantee if the refund request is reported to us via email within 14 days of the initial purchase date.

  • A User can only avail of a refund once.
  • Refunds will be processed within 5 to 7 business days to your original payment source.
  • Renewing your subscription after its term has expired does not entitle you to a refund.
  • We do not provide refunds for third-party payments or integrations made on the platform.

Beyond the initial 14-day window, subscription fees are generally non-refundable. We reserve the right to deny refund requests in cases of subscription cancellations that violate this policy or if the account is terminated for a violation of the Acceptable Use guidelines.
